Legal Services
Built for Modern Business

Transactional counsel for NY businesses — contract drafting, review, negotiation, and corporate formation. Direct attorney access. Flat-fee pricing. No junior associates.

Practice Areas

What I Handle

Each service is priced and scoped before any work begins.

Pro Bono Representation

A portion of each year's capacity is reserved for pro bono matters. If the work fits the practice and the cause is right, the firm takes it on at no cost.

Contract Review

Plain-English risk analysis of any agreement before you sign. Identifies liability shifts, IP terms, auto-renewals, and other surprises that template language often hides.

Contract Drafting

Custom commercial agreements drafted to your business model — services agreements, MSAs, NDAs, partnership agreements. Two rounds of revisions included.

SaaS & Tech Agreements

Software licensing, terms of service, DPA / data agreements, and subscription contracts. Both sides of the table — vendor-facing and customer-facing.

Vendor & Supplier Contracts

Procurement agreements, vendor onboarding, supplier MSAs. Includes a checklist of clauses to push back on so you stop accepting vendor-favorable boilerplate.

Corporate Formation & Governance

LLC and PLLC formation, operating agreements, founder agreements, board resolutions. Built for the long game, not just to file the paperwork.

Contract Negotiations

I handle counterparty redlines and calls directly, or coach you through them. Whatever keeps the deal moving without losing leverage.

Engagement Models

Predictable Pricing

Most engagements are flat-fee. The intro call ends with a clear number.

Hourly billing is available where flat-fee doesn't make sense — typically litigation-adjacent or unpredictable matters.

How It Works

The Engagement Process

Four steps from "let's talk" to executed agreement.

01

Intro Call

Free 30-min call to understand the matter and confirm fit. No pressure to engage.

02

Engagement Letter

Written scope, timeline, and fee. You sign before any work begins. No surprises.

03

Execute

Direct attorney work. Regular updates. Drafts and redlines delivered on the agreed timeline.

04

Deliver & Close

Final document, executed copies, and a closing memo with anything you should track post-signature.

Common Questions

Legal Services FAQ

Only after a written engagement letter is signed by both parties and any required retainer is paid. Discovery calls, emails about whether to engage, and consultations are not themselves representation.
New York. For matters in other states, I can either assist on the consulting side or refer you to vetted counsel in your jurisdiction.
No. The practice is purely transactional — contracts, formation, negotiations, governance. For disputes, I refer to litigation counsel I trust and stay engaged on the contract side as needed.
Yes. Send your form ahead of the call or use a mutual NDA I can provide. Either way, intro-call discussions are treated as confidential under attorney rules even before formal engagement.
A written change order with the new scope and any fee adjustment. Nothing additional gets billed without your written sign-off — that's part of the model.

Have a contract you need eyes on?

Send it over for a free fit-check call. If it's a quick yes/no, that's the answer. If it's a real engagement, you'll have a fee number before we hang up.
